TERMS OF USE

The legal agreement for using the POISE os™ decision-support tool.

Effective Date: August 6, 2026

These Terms of Use (“Terms”) are a legal agreement between you and RMKBL LLC (“POISE,” “we,” “us,” or “our”). They govern your access to and use of the POISE website, application, assessments, results, downloadable guides, and related services (collectively, the “Service”).

By selecting “Continue,” creating an account, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to enter into these Terms to use the Service. By using POISE, you represent that you meet these requirements.

2. The purpose and limits of POISE

POISE provides general decision-support content for informational and self-reflection purposes. POISE helps users consider aspects of a decision through the POISE method: Perspective, Ownership, Influence, Strategy, and Endurance.

POISE generates guidance from the selections and information provided by the user. We do not independently verify user inputs, investigate the facts behind a decision, guarantee that an output is complete or accurate for a particular situation, predict outcomes, or make decisions on a user’s behalf.

POISE is not therapy, counseling, coaching, crisis care, medical care, mental-health care, or a diagnostic or treatment service. The Service does not provide medical, mental-health, legal, financial, tax, investment, employment, or other professional advice.

You are responsible for evaluating the information relevant to your situation and for every decision and action you take. You should seek qualified professional advice when a decision involves health, safety, mental health, legal rights, finances, taxes, investments, employment, an emergency, a crisis, or another high-stakes matter.

3. Emergency and safety limitation

POISE is not an emergency or crisis service and does not monitor, respond to, or intervene in emergencies. Do not use the Service if you are in immediate danger, may harm yourself or someone else, or need urgent support. In an emergency, contact local emergency services or an appropriate crisis service.

4. Your information and your responsibilities

You may provide a decision title, selections, and other permitted information to use the Service (“User Inputs”). You represent that you have the right to provide your User Inputs and that doing so does not violate another person’s rights, confidentiality obligation, contract, or applicable law.

Do not provide:

  • passwords, financial-account credentials, government identification numbers, or similarly sensitive credentials;
  • health records, medical information, or crisis details;
  • confidential employer, client, school, government, or legal information;
  • private information about another person unless you are authorized to provide it; or
  • unlawful, harmful, infringing, or abusive content.

You remain responsible for the accuracy, completeness, and appropriateness of the User Inputs you choose to provide.

5. Account security

If POISE offers accounts, you are responsible for keeping your login credentials secure and for activity occurring through your account. Notify us promptly through the FAQ page if you believe your account has been accessed without authorization.

6. Acceptable use

You may use the Service only for your personal, lawful, non-commercial use, unless we expressly approve another use in writing. You may not:

  • use the Service to make decisions for another person without their knowledge or authority;
  • use the Service to provide professional, clinical, legal, financial, employment, or emergency services to another person;
  • copy, reproduce, distribute, sell, lease, sublicense, reverse engineer, modify, or create derivative works from the Service, except as allowed by applicable law;
  • interfere with the Service, bypass security measures, probe for vulnerabilities, scrape the Service, or use automated tools without written permission;
  • use the Service to create or distribute unlawful, discriminatory, abusive, deceptive, or harmful content; or
  • use the Service in a way that could harm POISE, other users, or third parties.

7. Intellectual property

The Service, including the POISE name, logos, framework, assessment flow, question structure, logic, software, written content, guides, and design elements, is owned by RMKBL LLC or its licensors and is protected by applicable intellectual-property laws.

Subject to these Terms, POISE grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. These Terms do not grant you ownership of the Service or any POISE intellectual property.

8. Feedback

If you send us suggestions, comments, ideas, or feedback about the Service, you grant us the right to use that feedback without compensation or restriction, unless applicable law requires otherwise.

9. Third-party services

The Service may rely on third-party providers for hosting, authentication, payments, analytics, communications, or other infrastructure. Your use of those providers’ services may also be subject to their terms and privacy policies. We are not responsible for third-party services we do not control.

10. Service changes and availability

We may change, suspend, discontinue, or update any part of the Service at any time. We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” POISE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.

WITHOUT LIMITING THE ABOVE, POISE DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR NEEDS, THAT ANY OUTPUT WILL BE ACCURATE OR COMPLETE FOR YOUR SITUATION, OR THAT FOLLOWING ANY GUIDANCE WILL LEAD TO A PARTICULAR RESULT.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RMKBL LLC, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF RMKBL LLC FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO USE THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) US$100.

Nothing in these Terms limits liability or rights that cannot lawfully be limited or waived.

13. Indemnification

To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless RMKBL LLC and its affiliates, licensors, service providers, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from or related to your User Inputs, your misuse of the Service, or your violation of these Terms or applicable law.

14. Suspension and termination

We may suspend or terminate your access to the Service if we reasonably believe that you have violated these Terms, created risk for POISE or another person, or used the Service unlawfully. You may stop using the Service at any time.

The provisions that by their nature should survive termination will survive, including intellectual-property rights, disclaimers, limitations of liability, indemnification, and dispute provisions.

15. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will provide notice as required by applicable law. The updated Terms will be effective on the date stated at the top of the document. Your continued use of the Service after the effective date means that you accept the updated Terms, to the extent permitted by applicable law.

16. Governing law and disputes

These Terms are governed by the laws of Texas, without regard to conflict-of-law rules, except where applicable law requires otherwise.

Any dispute relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Dallas County, Texas, unless applicable law requires a different forum.
